Professional / Artist / Seller Terms

Scope

These Terms apply to Professional Users using Cave31 to create or manage professional profiles, submit artwork, manage Listings, respond to enquiries or Offers, or otherwise use Cave31's professional facilities.

Professional Access

Professional facilities are provided only to Users accepted or authorized by Cave31. Cave31 may request identity, contact, tax, business, artistic or other information reasonably necessary to operate professional services, establish eligibility or satisfy legal requirements.

Acceptance as a Professional User does not create employment, partnership, agency, exclusivity or a guarantee of sales unless expressly agreed in writing. Professional registration, activation or material professional profile changes should require acceptance of the applicable Professional Terms.

Listing Obligations

• A Professional User submitting an Artwork must have lawful authority to offer and transfer it.
• A Professional User must provide materially accurate information.
• A Professional User must keep availability reasonably current.
• A Professional User must disclose authorship, medium, dimensions, edition where applicable, material condition information and relevant restoration or alteration.
• A Professional User must provide provenance or authenticity information reasonably requested by Cave31.

Cave31 may edit presentation or formatting without intentionally changing substantive meaning. Cave31 may reject, suspend, correct or remove a Listing because of inaccurate information, ownership or authenticity concerns, legal issues, quality standards, policy violations or reasonable operational requirements.

Ownership, Authenticity and Provenance

A Seller represents that the Seller has lawful authority to offer and transfer the Artwork and that information supplied concerning authorship, provenance, edition and authenticity is not knowingly false or misleading.

Cave31 may request supporting documentation or information at any time and may suspend a Listing or transaction where reasonable authenticity, ownership, legal or provenance concerns arise. Deliberate misrepresentation, counterfeit Listings or unauthorized sales may result in removal, account termination, cancellation of transactions and other appropriate action.

Professional Pricing and Negotiation

The Seller determines or approves the displayed price or indicative price unless another written arrangement applies. Cave31 may provide non-binding pricing guidance.

Where a Seller enables negotiation, the Seller may provide Cave31 with private negotiation preferences or limits supported by the Platform. Such private information may be used to operate negotiation guidance and must not automatically be displayed to Community Users as a discount.

A Professional User must respond to Offers through the authorized workflow. An unanswered Offer expires according to the Offer & Negotiation Policy.

Compliance Information

Professional Users must provide complete and accurate information reasonably required for invoicing, taxation, accounting or regulatory compliance and must promptly notify Cave31 of material changes.

Seller tax-registration status is an internal transaction and compliance attribute, not a separate public legal category of Artist or Seller. The general Terms and public Professional Terms must not permanently encode public transaction categories based only on GST registration or similar tax-registration status unless specifically approved.

Commercial Terms

Seller Responsibility

• Lack of authority to sell.
• Deliberate or material misrepresentation.
• Counterfeit or knowingly misattributed Artwork.
• Infringement of third-party intellectual-property rights.
• Materially incorrect tax or compliance information.
• Material breach of Seller obligations.

Licence to Cave31

A person uploading or providing Artwork images or related content confirms that they have authority to permit their use and grants Cave31 a non-exclusive licence to store, reproduce, resize, reasonably crop, display and use the material for operation of the Platform, promotion of the Artwork, Cave31 editorial and curatorial activities, exhibitions, catalogues, marketing and social-media communication.

This licence does not transfer copyright to Cave31. Cave31 may retain reasonable archival records of sold, expired or removed Listings for transaction records, legal compliance or legitimate gallery/history records.

Privacy, Suspension and Disputes

Personal information is handled according to the Privacy Policy. Professional profile information intentionally marked public may be displayed through Cave31 after approval where required.

Cave31 may suspend or terminate an account, Listing or service where reasonably necessary because of material violation of these Terms, suspected fraud or unlawful conduct, authenticity or ownership concerns, security risks, abuse of Users or Platform facilities, or legal requirements.

These Terms are governed by the laws of India. Subject to mandatory statutory jurisdiction, disputes are subject to competent courts having jurisdiction in Kolkata, West Bengal.
